These Terms and Conditions ("Terms") govern access to and use of Vitals ("Service"), provided by PLYXIO ("we," "us," "our"). By creating an account, subscribing to, or otherwise using the Service, a Hospital and its authorized Users agree to be bound by these Terms.
Vitals is a multi-tenant hospital management platform that provides tools for patient records, appointments, billing, pharmacy, lab and radiology order management, staff administration, and a patient-facing portal, made available on a subscription basis to healthcare facilities ("Hospitals").
Vitals is administrative and clinical recordkeeping software. It does not provide medical advice, diagnosis, or treatment, and is not a substitute for the professional judgment of qualified healthcare providers. Hospitals and their staff remain solely responsible for all clinical decisions, the accuracy of information entered into the Service, and compliance with applicable healthcare laws, licensing requirements, and standards of care in their jurisdiction.
A Hospital must provide accurate information when registering and is responsible for all activity under its account, including accounts of staff it invites and, where enabled, patients who self-register. Hospitals are responsible for promptly removing access for staff who no longer work there, and for maintaining the confidentiality of login credentials.
You agree not to:
As between a Hospital and PLYXIO, the Hospital owns the patient, staff, and operational data it enters into the Service. We do not claim ownership of this data. Our Privacy Policy describes how we handle this information as a service provider acting on the Hospital's behalf.
The Service, including its software, design, and branding, is owned by PLYXIO and protected by applicable intellectual property laws. These Terms grant Hospitals a limited, non-exclusive, non-transferable right to use the Service for their own internal operations — nothing here transfers ownership of the underlying software to any Hospital or User.
We aim to keep the Service available and reliable, but do not guarantee uninterrupted or error-free operation. We may perform maintenance, updates, or changes to the Service from time to time, and will aim to minimize disruption when doing so.
To the fullest extent permitted by law, PLYXIO shall not be liable for any indirect, incidental, or consequential damages arising from use of the Service, including but not limited to loss of data, revenue, or business, or for any clinical decisions made using information recorded in the Service. Our total liability for any claim arising from these Terms or the Service shall not exceed the amount paid by the Hospital for the Service in the twelve (12) months preceding the claim.
A Hospital may stop using the Service and cancel its subscription at any time. We may suspend or terminate access to the Service if these Terms are violated, if payment is not received, or if required by law. Upon termination, we will retain data for a reasonable period as described in our Privacy Policy to allow for reactivation or data export requests, unless deletion is requested sooner.
These Terms are governed by the laws of Pakistan, without regard to conflict of law principles, unless otherwise required by mandatory law applicable to a Hospital's jurisdiction.
We may update these Terms from time to time. We will post the updated version here with a revised "last updated" date. Continued use of the Service after an update constitutes acceptance of the revised Terms.
Questions about these Terms can be sent through our Contact page.
This document is a general-purpose terms template and has not been reviewed by a lawyer. Given that Vitals is used by healthcare facilities and touches patient health information, we'd strongly recommend having this reviewed by legal counsel familiar with healthcare regulation and contract law in the jurisdictions where you operate before relying on it as your final terms of service.
